Terms of Service

By creating an account or using Notewen, you agree to these Terms with the Notewen team. If you do not agree, do not use the service.

1. The service

Notewen is a personal and team knowledge-management tool that converts unstructured notes into tasks and durable knowledge using AI. Features and pricing may change as the product evolves.

2. Account

• You must provide an accurate email and you are responsible for keeping your password (and 2FA secrets) safe
• You must be at least 16 years old (or the digital age of consent in your jurisdiction)
• You are responsible for activity under your account
• One person per account; you may belong to multiple organizations

3. Your content

You retain all rights to the content you create. By using the service, you grant Notewen a limited license to store, process and display your content for the sole purpose of operating the service for you.

You are responsible for what you put into Notewen. Do not upload content that is unlawful, infringes others' rights, or contains malware.

4. Acceptable use

You agree not to:

• Reverse-engineer, scrape or copy the service except as permitted by law
• Resell access without our written consent
• Use the service to send spam, harass others, or distribute malicious software
• Abuse LLM features (e.g. flood requests, attempt prompt-injection to harm others)
• Interfere with security mechanisms or attempt to access data of other organizations

5. AI features

LLM responses are generated by third-party models. They can be inaccurate, incomplete, or out of date. You are responsible for reviewing AI output before relying on it for decisions. Notewen does not warrant the correctness of AI-generated content.

6. Organizations and admins

If you are admin of an organization, you control its data and members. Members must accept these Terms individually. Removing a member does not remove their account; it only revokes their access to your organization.

7. Plans, fees and termination

The service may offer free and paid plans. Paid plans are billed in advance, non-refundable except where required by law. We may suspend or terminate accounts that violate these Terms or fail to pay.

You may delete your account at any time. Deletion is permanent and removes all owned organizations and content.

8. Service availability

We try to keep Notewen available, but we do not guarantee uninterrupted service. Maintenance, third-party outages (model providers, hosting, email) and unforeseen events may cause downtime.

9. Disclaimer of warranties

The service is provided "as is", without warranty of any kind, express or implied. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, the Notewen team is not liable for indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, or use. Our total liability is capped at the amount you paid us in the 12 months preceding the claim, or $50 if you used a free plan.

11. Indemnity

You agree to indemnify the Notewen team against claims arising from your content or your violation of these Terms.

12. Disputes

If a dispute arises, contact us first so we can try to resolve it directly and in good faith.

13. Changes

We may update these Terms. We will notify you of material changes by email or in-app. Continued use after a change indicates acceptance.
